Unisellergy Technology LLP Terms of Use

1. Introduction

These Terms of Use (“TOS”) constitute a legally binding agreement between you (“You”/”Your”) and Unisellergy Technology LLP (“Unisellergy,” “we,” “our,” “us”), the provider of the Unisellergy platform (“Platform”). By accessing or using our Platform and services (“Services”), you agree to comply with and be bound by these TOS, our Privacy Policy, and any other terms and policies we may establish.

If you do not agree to these TOS, you may not access or use the Platform.

2. Registration and Account Security

To access the Platform, you must register and create an account (“Account”). You agree to provide accurate and complete information during registration and to keep your Account information updated.

• You are responsible for maintaining the confidentiality of your password and Account.
• You agree not to share your password or allow others to access your Account.
• You must notify us immediately of any unauthorized use of your Account.

Unisellergy reserves the right to suspend or terminate your Account if any of the information provided during registration is inaccurate or if there is unauthorized use of your Account.

3. Scope of Services

Unisellergy grants you a non-exclusive, non-transferable, limited license to access and use the Platform and Services. The Platform provides tools for eCommerce management, including order and inventory management, analytics, and other related services.

• The Services are provided “as is” and are subject to change without prior notice.
• You may use the Services only for your business operations and not for any unlawful or unauthorized purpose.

4. Use of Services

You agree to use the Services in accordance with these TOS and applicable laws. You are responsible for the content you upload to the Platform, and you agree not to upload any content that is illegal, harmful, or violates the rights of others.

• You may not sublicense, resell, or share the Platform or Services with third parties without our express written consent.
• You are prohibited from reverse engineering, decompiling, or attempting to extract the source code of the Platform.

Unisellergy reserves the right to monitor your use of the Platform and to remove any content that violates these TOS.

5. Fees and Payments

Unisellergy operates on a pay-per-use model:

• You will receive 50 free credits upon registration, valid for one month.
• After your credits expire or are exhausted, you can purchase additional credits at ?1 per credit.

All fees are non-refundable, and Unisellergy reserves the right to change the pricing structure with prior notice. Unisellergy will not refund any fees for unused credits.

6. Intellectual Property

All content on the Platform, including software, designs, logos, and trademarks, is the intellectual property of Unisellergy or its licensors. You may not use, reproduce, or distribute any content without our express written permission.

• You agree not to infringe upon Unisellergy’s intellectual property rights or use our trademarks without authorization.
• You may not use any content from the Platform for commercial purposes without prior consent.

7. Indemnification

You agree to indemnify and hold harmless Unisellergy, its affiliates, and its respective officers, directors, employees, and agents from any claims, damages, or liabilities arising out of your use of the Platform or breach of these TOS.

8. Disclaimer of Warranties

The Platform and Services are provided “as is” and without warranties of any kind, whether express or implied. Unisellergy does not guarantee the accuracy, reliability, or availability of the Platform and Services.

• Unisellergy disclaims all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.
• Unisellergy is not responsible for any data loss or security breaches that may occur while using the Platform.

9. Limitation of Liability

Unisellergy will not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform or Services.

• Our total liability, whether in contract, tort, or otherwise, will not exceed the amount you paid to Unisellergy in the month preceding the claim.

10. Suspension and Termination

Unisellergy reserves the right to suspend or terminate your Account and access to the Platform at any time, with or without cause.

• You may terminate your Account by providing written notice to Unisellergy. Upon termination, you will lose access to the Platform, and any remaining credits will not be refunded.

11. Governing Law and Jurisdiction

These TOS are governed by and construed in accordance with the laws of India. Any disputes arising from these TOS will be subject to the exclusive jurisdiction of the courts in Mumbai, India.

12. Changes to Terms of Use

Unisellergy reserves the right to modify these TOS at any time. Any changes will be posted on our website, and your continued use of the Platform after the changes take effect will constitute your acceptance of the new terms.
